Terms of Service
These Terms of Service ("Terms") govern your access to and use of:
- the Sodalyte website (the "Website"), and
- the Sodalyte macOS application (the "App"), including any related content and services we provide (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Apple Standard EULA governs the App license (Mac App Store)
If you download the App from the Mac App Store, your license to use the App is governed by Apple's Licensed Application End User License Agreement (the "Standard EULA"), unless Sodalyte provides a custom EULA through App Store Connect (Sodalyte does not currently provide a custom EULA).
These Terms apply to the Website and to additional rules for the App that are not inconsistent with the Standard EULA. If there is a conflict about App licensing terms, the Standard EULA controls.
2) Eligibility
You may use the Services only if you can form a legally binding contract in your jurisdiction. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
3) Changes to the Services
We may change, suspend, or discontinue any part of the Services at any time, including to improve performance, maintain security, or comply with law. Where required by law, we will provide notice.
4) Website
4.1 Permitted use
You may access and use the Website for lawful purposes and in accordance with these Terms.
4.2 Prohibited conduct
You must not:
- access or use the Website in a way that violates any law or infringes any rights
- attempt to gain unauthorized access to systems or data
- interfere with or disrupt the Website or bypass security or access controls
- scrape, crawl, harvest, or use automated means to access the Website, except as permitted by applicable law
5) App (local-first)
5.1 No accounts
The App does not require logins and is designed to operate locally on your device.
5.2 Permissions and system features
Some App features may depend on optional macOS permissions or OS features (for example: local notifications, read-only calendar access, and optional location attachment to tasks). You control permissions in macOS settings. If you decline a permission, related features may not work.
5.3 Availability and timing
Reminders and notifications depend on device settings and OS behavior. We do not guarantee that reminders will always be delivered at a specific time.
6) Purchases (current and future)
The App is currently offered as a free download. In the future, the App may be offered as a paid one-time purchase through the Mac App Store. Purchases (if any) are processed by Apple. We do not process or store your payment card details.
7) Intellectual property
7.1 Our materials
As between you and Sodalyte, Sodalyte owns the Services and all associated intellectual property rights (including software, UI arrangement, visual design, text, and other materials provided by Sodalyte), except for third-party materials.
Nothing in these Terms transfers ownership to you. All rights not expressly granted are reserved.
7.2 Third-party materials (including SF Symbols)
The App may use third-party materials owned by their respective licensors. For example, Apple SF Symbols may be used within the App UI, and are subject to Apple's terms and restrictions. Sodalyte does not claim ownership of SF Symbols.
7.3 Feedback
If you provide feedback or suggestions, you grant Sodalyte a worldwide, perpetual, irrevocable, sublicensable, royalty-free right to use them without compensation, to the extent permitted by law.
8) License restrictions (to the extent permitted by law)
Except as permitted by applicable law or the Standard EULA (for Mac App Store installs), you agree not to, and not to enable others to:
- copy, modify, translate, or create derivative works of the Services
- reverse engineer, decompile, or disassemble the App, or attempt to discover source code or underlying ideas (except where such restriction is prohibited by law)
- rent, lease, sell, redistribute, or sublicense the App or Website content
- provide the App on a time-sharing, service bureau, or hosted basis
- remove or alter proprietary notices
- use automated scripts/bots to manipulate, stress, or interfere with the Services
- publish or disclose benchmark or performance test results about the App without Sodalyte's prior written consent, to the extent permitted by law
9) Privacy
Our Privacy Policy explains how the App and Website handle information.
Hosting providers (for example, Cloudflare) may process technical request data to deliver the Website and provide aggregated usage statistics. Sodalyte does not run advertising trackers, and does not intentionally set tracking cookies for marketing or behavioral profiling.
10) Support
Support (if provided) is best-effort only, with no guaranteed response time.
11) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SODALYTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SODALYTE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REMINDERS/NOTIFICATIONS WILL ALWAYS EXECUTE AT THE PRECISE TIME YOU EXPECT (FOR EXAMPLE, DUE TO OS SETTINGS, DO NOT DISTURB, POWER SAVING, OR SYSTEM LIMITATIONS).
THE APP IS NOT A MEDICAL OR SAFETY DEVICE AND IS NOT INTENDED FOR EMERGENCY USE.
12) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SODALYTE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SODALYTE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) SGD 50.
Some jurisdictions do not allow certain disclaimers or liability limitations. Nothing in these Terms limits liability that cannot be limited under applicable law, and your statutory consumer rights remain unaffected.
13) Indemnity (where allowed)
To the extent permitted by law, you agree to indemnify and hold Sodalyte harmless from claims arising out of your misuse of the Services or your violation of these Terms.
14) Termination
We may suspend or terminate your access to the Website if you materially violate these Terms. Termination of Website access does not affect any rights you have under the Standard EULA for the App, except as permitted there.
15) Notices and electronic communications
You agree that Sodalyte may provide notices to you by posting them on the Website, within the App, or by replying to an email you send to legal@sodalyte.com. Notices are effective when posted (or when sent, if by email reply). You are responsible for keeping your own contact information current when communicating with us.
16) Governing law
These Terms are governed by the laws of Singapore, excluding conflict of laws rules, subject to any mandatory consumer protection laws that apply in your jurisdiction.
17) Dispute Resolution and Arbitration (Singapore)
17.1 Agreement to arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the App (including any question regarding the existence, validity, interpretation, performance, breach, termination, or enforceability of these Terms) shall be referred to and finally resolved by arbitration in Singapore, except as expressly provided below.
17.2 Opt-out right (14 days)
You may opt out of this arbitration agreement by sending an email to legal@sodalyte.com within 14 days of the earliest of: (a) your first use of the Website, or (b) your first use of the App (the "Opt-Out Deadline").
Your email must include: (i) your name, (ii) a statement that you are opting out of arbitration, and (iii) enough information for us to match your request to your use (for example, the email address you used to contact us, and the approximate date you first used the Services).
If you opt out, disputes will be resolved in the courts of Singapore unless mandatory law in your jurisdiction provides otherwise.
17.3 Rules
The arbitration shall be conducted under arbitration rules selected by Sodalyte in Sodalyte's sole and absolute discretion (the "Selected Rules"), as notified in writing to the other party at the time Sodalyte commences arbitration.
17.4 Sole arbitrator selected by Sodalyte
The dispute shall be decided by a sole arbitrator selected and appointed by Sodalyte in Sodalyte's sole and absolute discretion, and the other party irrevocably consents to that selection and appointment.
17.5 Backstop if unilateral selection is unenforceable
If any part of the foregoing provisions regarding selection of rules and/or appointment of the arbitrator is held to be invalid, unenforceable, or not permitted under applicable law, then: (a) the arbitration shall instead be administered by the Singapore International Arbitration Centre ("SIAC") under the SIAC Rules in force when arbitration is commenced, and (b) the arbitrator shall be appointed by SIAC, while all other provisions of this arbitration agreement remain in effect.
17.6 Seat and language
The seat (legal place) of arbitration shall be Singapore. The language shall be English.
17.7 Binding outcome and confidentiality
The arbitrator's award shall be final and binding on the parties, and judgment on the award may be entered in any court of competent jurisdiction. The arbitration, including the existence of the arbitration, all submissions, evidence, and any award, shall be confidential to the maximum extent permitted by law, except as required for enforcement of an award or as otherwise required by law.
17.8 Injunctive and protective relief
Notwithstanding the foregoing, Sodalyte may seek urgent interim, protective, or injunctive relief (including to prevent or stop unauthorized use, scraping, distribution, or infringement of Sodalyte intellectual property) in the courts of Singapore, and doing so will not be deemed incompatible with or a waiver of this arbitration agreement.
17.9 Time limit
To the extent permitted by law, any claim must be brought within one (1) year after the claim arose, or it is permanently barred.
18) Changes to These Terms
Sodalyte may update these Terms from time to time by posting a revised version on the Website and updating the effective date above. Continued access to or use of the Services after changes become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
19) Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
